These Terms of Service (“Terms”) govern the relationship between Agans Executive (“Company,” “we,” “us,” or “our”) and clients (“you” or “your”) who engage with our recruiting, consultation, and related technology services. By accessing or using our services, you agree to these Terms.

Services Provided

We provide recruiting support services, which may include:

- Job postings and advertising campaigns

- Access to our applicant tracking system (ATS) and/or client relationship management (CRM) subaccount

- Consultation and guidance on hiring strategies

- Candidate sourcing and management support

The scope of services will be outlined in your service package or agreement.

Client Responsibilities

To ensure the success of our services, clients agree to:

- Provide accurate and complete information about hiring needs, job descriptions, and company requirements

- Respond promptly to communication regarding candidates or service progress

- Use the ATS/CRM access solely for business purposes related to recruiting

Payments & Fees

Fees for services will be agreed upon prior to engagement and detailed in a proposal, invoice, or service agreement.

ATS/CRM access, job posting support, and ongoing recruiting services are billed monthly in advance. Payments are processed automatically on the first of each month. Subscription fees are non-refundable. Continued access to services is contingent on timely payment.

Late payments may result in suspension or termination of services.

Confidentiality

We respect the confidentiality of all client and candidate information. Both parties agree not to disclose or use any confidential information for purposes outside the scope of this agreement.

No Guarantee of Hire

While we provide recruiting services designed to improve hiring outcomes, we cannot guarantee the selection, performance, or retention of any candidate.

Intellectual Property

All materials, tools, and systems provided (including ATS/CRM access, templates, and resources) remain the property of the Company unless otherwise agreed in writing. Clients receive a non-transferable, limited license to use these resources during the active service period.

Termination

Either party may terminate services with written notice. Upon termination, any outstanding balances remain due, and access to tools or platforms provided by us will be revoked.

Limitation of Liability

Our services are provided “as is.” To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages arising from the use of our services.

Governing Law

These Terms shall be governed by and construed under the laws of Alabama, without regard to conflict of law principles.

Acceptance of Terms

By engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
